Zachary Blumenthal is an Associate in the firm’s Corporate Transactional and Capital Markets Departments.
Mr. Blumenthal’s practice focuses on public and private equity and debt finance transactions, exchange act compliance, mergers and acquisitions, broker-dealer regulation, and corporate governance. He frequently represents issuers, investors, underwriters, and placement agents in connection with initial and follow-on public offerings and other registered and private offerings of equity and debt securities, including registered direct offerings, CMPOs, at-the-market offerings, public and private equity line transactions, PIPEs, debt-for-equity exchanges, and Rule 144A, Regulation S, and other cross-border securities offerings. Mr. Blumenthal has extensive experience with applicable regulatory authorities, including the SEC, FINRA, and NASDAQ. His practice also includes general corporate transactions and matters.
Mr. Blumenthal received his J.D. from Hofstra University School of Law (now known as the Maurice A. Deane School of Law at Hofstra University). In law school, Mr. Blumenthal was an Editor for the Journal of International Business & Law and authored a published Student Note entitled, The Punishment of All Athletes: The Need for a New World Anti-Doping Code in Sports, 9 J. Int’l Bus. & L. 201 (Spring 2010). He was also a member of the Moot Court Board for the school’s Moot Court Association. Further, Mr. Blumenthal served as Secretary for the Sports and Entertainment Law Society.
