Lee Pershan is of counsel to the Firm and is a member of the Corporate and Tax Departments. She specializes in the areas of securities, mergers and acquisitions and general corporate law.

Ms. Pershan has represented issuers and underwriters, among others, in public and private offerings of debt and equity securities and has extensive experience in assisting publicly traded companies in the preparation and filing of annual, quarterly and other reports with the Securities and Exchange Commission and general securities law matters.

Ms. Pershan has represented publicly traded companies, private businesses and individual investors, as purchasers and sellers, in mergers and acquisitions, including going private transactions, exchange/tender offers, spin-offs, asset sales and purchases, stock sales and purchases, consolidations, restructurings and liquidations. In addition, she has assisted clients with respect to general business matters including financing, joint venture and real estate transactions, employee benefit plans, employment agreements, license agreements and related arrangements.

Ms. Pershan has worked with businesses of varying sizes and in a variety of industries including the energy, entertainment, food, information, manufacturing, pharmaceutical, transportation, telecommunications and real estate industries.

Ms. Pershan is admitted to practice in the State of New York. Ms. Pershan graduated from Columbia University (B.A., 1977) and from New York University School of Law (J. D., 1984).
